Job Overview:

The Legal Counsel acts as part of MCDERMOTT’s Legal Department, primarily for the MCDERMOTT Office in the Hague, The Netherlands

Key Tasks and Responsibilities:

  • Reviewing Proposals / ITB’s, preparing contract deviations and managing negotiations for new opportunities (which includes reviewing Contract terms and conditions, pricing/payment schedules, scope of work, project procedures and execution schedules on lump sum, unit rate and reimbursable contract models) for projects ranging from several million to several billion dollars in value

  • Advising, reviewing and negotiating project related MOU, Consortium, Joint Venture, Partnership and Shareholder Agreements

  • Advising on Projects in varying jurisdictions and working with and understanding foreign governing/applicable law, including facilitating, understanding and applying specialized legal advice from such jurisdictions

  • Ensuring project contracts are consistent with the MCDERMOTT project objectives and MCDERMOTT policies whilst avoiding onerous liabilities

  • Coordinating project reviews by project team

  • Advising on matters related to contracts management and claims

  • Participating in management review meetings

  • Supporting preparation, negotiations and implementation of Subcontracts and Purchase Orders

  • Assisting/advising in preparation and negotiation of Change Orders, Extensions of Time and Claims raised by Clients, Vendors, Subcontractors and MCDERMOTT

  • Reviewing and negotiating Secrecy Agreements and Interoffice Agreements

  • Other matters, as deemed necessary

Essential Qualifications and Education:

  • Civil law or Common law jurisdiction Qualified Lawyer

  • JD/Bachelors/Master of Law and basic understanding of common law or civil law respectively

  • Experience in EPC Contracting preferably in Oil & Gas / Energy Transition

  • Six to ten (6-10) years or more of EPC industry experience, preferably representing Contractors

  • Proficient in English

  • Excellent written and verbal communication skills

  • Ability to negotiate documents

  • Flexible attitude and ability to work in a multicultural environment

  • To work independently and proactively

  • Customer focused with acumen to safeguard Company interest

  • Ability and flexibility to comply with short notice requests

  • Organized and focus on problem solving

  • Commercial acumen to make good business decisions

  • Able to travel as necessary and unplanned

  • Ability to work as team player
